
The Court of Appeal has unanimously ordered the restoration of GN Savings and Loans Company Limited’s operating licence, overturning both the Bank of Ghana’s 2019 revocation and a subsequent High Court ruling that had upheld the decision.

In a landmark judgment delivered on Wednesday, the appellate court described the central bank’s action as “unfair and unreasonable,” effectively nullifying the regulatory measure and setting aside the earlier High Court ruling.

The decision marks a significant legal victory for the savings and loans firm and its shareholders, who have contested the revocation since the onset of Ghana’s financial sector clean-up exercise.
The three-member panel directed the appointed receiver to immediately hand over all assets, management, and operational control of the company back to its shareholders.
The ruling clears the way for GN Savings and Loans to resume operations, pending compliance with any outstanding regulatory requirements imposed by the Bank of Ghana.
Legal counsel for the company argued throughout the proceedings that due process was not followed and that the revocation lacked a reasonable basis under the Specialized Deposit-Taking Institutions Act.
The Court of Appeal’s ruling appears to endorse that position, finding that the process leading to the licence withdrawal fell short of legal and procedural standards.
The judgment is expected to reignite debate over the conduct of Ghana’s banking and non-bank financial sector reforms between 2017 and 2019, which saw the collapse, consolidation, or licence revocation of dozens of institutions.
While the reforms were aimed at strengthening the sector, they drew criticism over transparency, fairness, and the treatment of affected entities.
Analysts say the ruling could have wider implications for regulatory accountability and the rights of shareholders in future financial sector interventions.
It may also open the door for similar challenges from other institutions affected during the clean-up.
The Bank of Ghana has not yet issued a public statement on the judgment.
